TERMS OF SERVICE & INTELLECTUAL PROPERTY AGREEMENT

SECTION 1: LEGAL OWNERSHIP & CONTROL

1.1 Sole Proprietor & Controlling Entity

This Application, hereinafter referred to as "MediaSync" (the "Platform"), including all software, code, algorithms, databases, user interfaces, designs, artwork, and ancillary technological components, is wholly owned, controlled, and operated by agentbangerz.com, a legally registered operating entity ("Proprietor").

1.2 Exclusive Ownership of Platform Assets

agentbangerz.com retains absolute, exclusive, and perpetual ownership of:

All source code and object code
All compiled software and applications
All databases, data structures, and data compilations
All user interfaces, designs, and visual elements
All algorithms, processes, and methodologies
All trademarks, service marks, and branding materials

1.3 No Third-Party Claims or Rights

No third party, including but not limited to:

Platform service providers, hosting providers, or infrastructure partners
Development frameworks or open-source contributors
Payment processors or financial service providers
Third-party integrations, APIs, or external services
Individual developers, contractors, or consultants
Any other person, entity, or organization

"MediaSync" and all variants, logos, and branding
All service marks, trade dress, and visual identifiers
All domain names and digital assets (agentbangerz.com, studio.agentbangerz.com, and related digital properties)
All social media accounts and digital brand presence

2.2 No License to Third Parties Without Written Agreement

Unless explicitly authorized in writing by agentbangerz.com, no third party possesses:

License to use, reproduce, or distribute the Platform
Rights to create derivative works or modifications
Rights to reverse engineer, decompile, or analyze the code
Rights to extract, copy, or utilize any Platform component
Rights to claim any ownership interest whatsoever

Withhold funds or impose claims against user payments

Any other third-party technology provider

All such entities are service providers under contract, not proprietors or co-owners.

5.3 Termination of Third-Party Relationships

Terminate or modify relationships with any service provider
Migrate to alternative providers without restriction
Change technology stack or infrastructure at any time

Maintain Platform continuity regardless of third-party changes

6.2 Acceptable Use

Users may utilize the Platform solely for:

Learning and skill development (within Platform terms)

SECTION 7: LIABILITY LIMITATIONS & DISCLAIMERS
